Terms of Service

These Terms of Service ("Terms") govern your use of SideDetail (the "Service"), an off-duty job management platform provided by B² Labs LLC ("B² Labs," "we," "us"), a Texas limited liability company. By accessing or using the Service, you agree to these Terms.

1. About the Service

SideDetail is a web-based application that helps law enforcement agencies manage off-duty job postings, sign-ups, scheduling, and reporting. The Service is provided to law enforcement agencies under a written or implied agreement between the agency and B² Labs. Individual officers, coordinators, and other agency personnel use the Service under the authority of their agency.

These Terms apply to all individual users of the Service. Your agency's separate agreement with B² Labs governs the agency-level relationship, including pricing, data ownership, and service levels.

2. Eligibility and Accounts

You may use the Service only if:

• Your law enforcement agency has authorized your use; and
• You have been issued an account by your agency's coordinator or by B² Labs at the agency's direction.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify your coordinator immediately if you suspect unauthorized access. You may not share your account, transfer it, or allow another person to sign in as you.

Authentication is provided through Keycloak. We never see or store your password.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose;
• Upload, store, or transmit criminal justice information (CJI), case files, investigative records, intelligence data, or any information governed by CJIS, HIPAA, or similar regulations — SideDetail is not built for that;
• Misrepresent your identity, role, eligibility, or supervisor status;
• Sign up for jobs you are not eligible to work, or attempt to bypass coordinator approval, signup restrictions, or supervisor requirements;
• Use the Service to harass, threaten, or harm any other user;
• Upload images that are unlawful, sexually explicit, harassing, or that you do not have the right to use;
• Attempt to access another agency's data, another user's account, or any non-public area of the Service;
• Probe, scan, or test the security of the Service except under a written authorization from B² Labs;
• Reverse engineer, decompile, or otherwise attempt to derive source code from the Service;
• Use automated means (bots, scrapers, crawlers) to access the Service, except for documented API access provided by B² Labs;
• Interfere with or disrupt the Service or the servers, networks, or providers that support it.

Violations may result in immediate suspension or termination of your account and may be reported to your agency.

4. Your Content

You may submit information to the Service (profile details, photo, sign-ups, comments). You retain whatever rights you have in that content. By submitting it, you grant B² Labs a limited license to host, process, and display it for the purpose of operating the Service for your agency. Your information is handled in accordance with our Privacy Notice.

If you upload an image (such as a profile photo), you represent that you have the right to use it and that it does not violate anyone else's rights.

5. Agency Data; Ownership

The information your agency provides and generates through the Service ("Agency Data") belongs to your agency. B² Labs processes Agency Data on the agency's behalf under the agency's instructions, as described in our Privacy Notice.

The Service itself — including the software, design, trademarks, and documentation — is owned by B² Labs and its licensors. Nothing in these Terms transfers any ownership in the Service to you or your agency. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

The name "SideDetail," the SideDetail logo, and related marks are trademarks of B² Labs. You may not use them without our written permission, except to refer to the Service.

6. Pilot Service

SideDetail is currently offered to a limited group of pilot agencies, including Bedford Police Department, at discounted pilot pricing through 2026. Pilot use is provided as is while we refine the Service based on real-world feedback. Specific pricing, billing arrangements, and payment terms for your agency are set out in the separate agreement between B² Labs and your agency (or the entity paying on its behalf). We may modify features, suspend the Service for maintenance, or change pricing for non-pilot use at any time. We will give pilot agencies reasonable advance notice of any change that materially affects their use of the Service.

7. Service Availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, third-party outages (such as hosting or email providers), or events outside our reasonable control. During the pilot, we do not offer a formal service-level agreement.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, B² LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service will be free of viruses or other harmful components. You are responsible for verifying the accuracy of information displayed by the Service before acting on it.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, B² LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOUR AGENCY PAID TO B² LABS IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow these limitations, in which case they apply to the maximum extent permitted.

10. Termination

Your agency may end its use of the Service at any time. We may suspend or terminate your individual account for violation of these Terms, at the request of your agency, or if the Service is discontinued. On termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination (ownership, disclaimers, liability limits, governing law) will survive.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and notify agency coordinators by email. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Tarrant County, Texas, and you consent to the exclusive jurisdiction and venue of those courts.

13. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with the Privacy Notice and any written agreement between B² Labs and your agency, constitute the entire agreement between you and B² Labs concerning the Service. You may not assign these Terms; we may assign them to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.
